We represented a Transportation company and officers in a pre-derivative action document disclosure procedure in the Tel Aviv District Court (Economic Division). The lawsuit was filed by a shareholder, alleging that the company and its officers acted to benefit a specific director and his company at the expense of the company and other shareholders. A key challenge involved the circumstances of convening the general meeting, which complicated the company’s defense. Our firm submitted a detailed and substantive response, utilizing threshold legal arguments and a novel approach regarding substitution principles to potentially dismiss the request outright.
