The client, a scientist and apiologist (bee scientist), brought in the Copia Fund as an investor in his startup. The fund later removed him from his position as CEO, restricted his signing authority, automatically opposed his proposals, and orchestrated a board resolution—passed by procedural ambush—that altered the board’s composition in its favor. Our firm filed a lawsuit against the company, the investors, and the directors, and requested an injunction.
The proceedings have concluded.
Outcome
Following negotiations, we secured an exceptional settlement for our client, approved by the court (Economic Division, Tel Aviv District Court, Judge Sharvit). The agreement blocked the attempted takeover and preserved our client’s authority on the board.
